Terms and Conditions
These terms and conditions (the "Terms") govern your access to and use of DCSC (the "Product") provided by City Falcon Limited, a limited company registered under the laws of England and Wales (Company Number 09107763) with registered address at 483 Green Lanes, London, England, N13 4BS (hereinafter "City Falcon," "we," or "us).
These Terms constitute a binding agreement between you and us for the use of the Product. You must be at least 18 years of age to use the Product. By using the Product and agreeing to these Terms, you represent and warrant that you are at least 18 years of age. In order to proceed with the use of the Product, it is essential that you agree to these Terms. We strongly encourage you to carefully review and understand these Terms in order to address any questions or concerns you may have.
1. APPLICATION
These Terms and Conditions govern the use of the Product and the services provided by us. By accessing or using our Product, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these Terms, you may not access or use the Product in any way.
2. DEFINITIONS AND INTERPRETATIONS
2.1 In these Terms, unless the context otherwise requires, the following expressions shall have the following meanings:
Agreement: shall be used conjunctively to refer to these Terms and Conditions.
City Falcon Limited: the entity stated in these Terms having ownership and control over the Product and providing the Services to Users.
Data Protection Legislation: means:
- The General Data Protection Regulation (GDPR), 2016 the Data Protection Act 2018, the Privacy and Electronic Communications (EC Directive) Regulations 2003;
- Any other legislation in force from time to time relating to privacy and/or the Processing of Personal Data in the jurisdiction where the Services are being provided and applicable to the provision of the Services under these Terms; and any statutory codes of practice issued by the Information Commissioner in relation to such legislation.
DCSC: the official acronym for Dynamic Company Sector Classification.
Intellectual Property (IP) in relation to the Product refers to all legal rights and protections associated with the Product, including but not limited to:
- Copyright: The exclusive rights granted to the original expression, design, layout, and content of the Product, whether in written, visual, or digital form.
- Trademarks: Any registered or unregistered trademarks, service marks, logos, or trade dress associated with the Product that distinguish it from other products or services.
- Patents: Any granted or pending patents related to the underlying technologies, algorithms, or processes utilized in the development or operation of the Product.
- Trade Secrets: Confidential and proprietary information, including know-how, formulae, algorithms, methodologies, processes, and other confidential information related to the creation, operation, or functionality of the Product.
- Other Intellectual Property Rights: Any other intellectual property rights recognized by applicable laws or regulations that are associated with the Product, including moral rights, rights of publicity, database rights, and any other rights that may arise from the creation or use of the Product.
Personal Data and Processing: has the meaning given to it in the Data Protection Legislation.
Services: refers to the access to and use of the DCSC Product provided by City Falcon, as described in this Agreement.
"Unauthorized Use" refers to any action or activity that contravenes the terms and conditions set forth in this Agreement, including but not limited to:
- Accessing or using the Product without a valid and active license or beyond the scope of the granted license.
- Replicating, copying, distributing, or transmitting any part of the Product, including its datasets, without explicit authorization from City Falcon.
- Modifying, reverse-engineering, decompiling, or attempting to derive the source code, algorithms, or underlying technologies of the Product.
- Using the Product in any manner that violates applicable laws, regulations, or the intellectual property rights of City Falcon Limited or any third party.
- Sharing login credentials or allowing unauthorized individuals or entities to access or use the Product.
- Using the Product for any purpose that competes with or replicates the functionalities, services, or offerings provided by the Product.
- Removing, altering, or obscuring any copyright, trademark, or proprietary notices contained within the Product or associated materials.
Any use of the Product that falls outside the scope of authorized and permitted use as defined by this Agreement shall be considered Unauthorized Use.
User: the individual or legal entity who subscribes to the use of the Product under these Terms.
User Data: the data provided by the User for the purpose of registering an account for use of the Product.
3. BASIS OF THESE TERMS AND CONDITIONS
These Terms and Conditions shall come into effect when the User completes the account opening process and subscribes to the use of the Product. The Terms apply to the exclusion of and shall prevail over any other terms that the User may attempt to impose or incorporate, or that are implied by trade, custom, practice or course of dealing.
4. SERVICE DESCRIPTION
4.1 The Product is an advanced artificial intelligence (AI)-driven solution that encompasses a comprehensive set of sectors, and each User plan contains a unique and distinct set of services. For the avoidance of doubt, not all services listed in this clause are included in all User plans. The dataset is meticulously curated to establish relationships between sectors and the companies operating within them.
Specifically, the Services include:
- AI-driven sector and company classification: The dynamic classification of sectors and companies related to each sector, with assigned relevance weights for each company. This classification is responsive to emerging economic and technological changes.
- Downloadable dataset: The provision of a downloadable dataset containing information on companies within each sector and their relevance weights.
- Query-able API: The availability of an application programming interface (API) that allows Users to query and retrieve information on companies for each sector, including their relevance. Additionally, the API enables Users to obtain information on the sectors to which a specific company is related.
4.2 The Services are subject to the terms and conditions set forth in this Agreement and any applicable addenda or amendments.
5. AGE AND RESIDENCY RESTRICTIONS
5.1 Users must meet the legal age requirement to enter into a contract in their respective jurisdiction to access and use the Product. The specific age may vary depending on the laws of the User's jurisdiction. By accessing and using the Product, Users represent and warrant that they meet the legal age requirement in their jurisdiction.
5.2 The Product is designed to be accessible globally, allowing users from various countries and regions to utilize its services. However, there may be certain restrictions imposed by UK, US, or EU sanctions or embargoes that prohibit access to the Product from specific countries or individuals within those countries. It is the responsibility of the User to ensure compliance with any applicable sanctions, embargoes, or restrictions that may prevent them from accessing or using the Product.
5.3 Users acknowledge and agree that it is solely their responsibility to comply with all local laws, regulations, and legal requirements applicable in their jurisdiction regarding the access and use of the Product. This includes, but is not limited to, laws related to data privacy, intellectual property, export controls, sanctions, and any other relevant regulations. Users are responsible for ensuring that their use of the Product does not violate any applicable laws or regulations.
City Falcon does not assume any liability or responsibility for Users' failure to comply with their local laws and regulations.
6. USER ACCOUNT CREATION AND REGISTRATION
6.1 Account Creation
- To access and use certain features of the Product, Users may be required to create a User account. Account creation may involve providing certain personal information, such as name, email address, and password. Users agree to provide accurate, current, and complete information during the registration process and to keep their account information updated. Upon registration, Users will be granted a free Basic plan to the Company’s platform, www.cityfalcon.ai. Use of this separate platform is not required for the use of the Product.
- Users are solely responsible for maintaining the confidentiality of their account credentials, including their password. They are also responsible for all activities that occur under their account. Users must promptly notify City Falcon of any unauthorized use or suspected breach of their account.
6.2 Eligibility and User Representation
- By creating a User account, Users represent and warrant that they are of legal age to enter into a contract in their jurisdiction.
- Users also represent and warrant that all information provided during the registration process is accurate, current, and complete. They further agree to update their account information promptly in the event of any changes.
6.3 User Responsibilities
- Users are responsible for maintaining the security of their account and for any actions taken using their account credentials. They shall not share their account credentials with any unauthorized individuals or entities.
- Users agree to use the Product solely for lawful purposes and in compliance with all applicable laws, regulations, and this Agreement.
- Users shall not create multiple accounts or impersonate any individual or entity while using the Product.
- City Falcon reserves the right to suspend or terminate User accounts that violate any provisions of this Agreement or engage in fraudulent or unauthorized activities.
6.4 Account Termination
- Users may request the termination of their account by contacting City Falcon. Upon termination, the User's access to the Product and associated features will be revoked. Fees paid will be refunded at the sole discretion of City Falcon.
- City Falcon may suspend or terminate User accounts, in its sole discretion, for reasons including but not limited to violation of this Agreement, unauthorized use, fraudulent activities, or non-compliance with applicable laws or regulations.
6.5 Data Privacy and Security
- City Falcon Limited is committed to protecting the privacy and security of User data. The collection, use, and disclosure of personal information provided during the account creation and registration process are governed by City Falcon Limited's Privacy Policy.
- Users are encouraged to review the Privacy Policy to understand how their personal information is collected, used, and protected.
6.6 By creating a User account and registering with the Product, Users acknowledge their understanding and agreement with the provisions outlined in this section and agree to comply with all applicable requirements and responsibilities related to their account and registration.
7. USAGE POLICY
7.1 City Falcon grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Product for its intended purpose. This license does not permit you to modify, adapt, translate, reverse engineer, or create competing works from the Product.
7.2 Users shall not use the Product to transmit, distribute, or store any content that is unlawful, infringing, defamatory, obscene, or otherwise objectionable. Users shall also refrain from engaging in any activity that may disrupt or interfere with the proper functioning of the Product or its associated systems.
7.3 When using the Product, you agree to:
7.3.1 Not engage in any fraudulent, deceptive, or unlawful activities;
7.3.2 Not impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity;
7.3.3 Not interfere with the operation of the Product, including transmitting viruses, spam, or other harmful code;
7.3.4 Not collect or store personal information of other users without their consent; and
7.3.5 Not attempt to gain unauthorized access to any part of the Product or its systems.
7.3.2 Not impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity;
7.3.3 Not interfere with the operation of the Product, including transmitting viruses, spam, or other harmful code;
7.3.4 Not collect or store personal information of other users without their consent; and
7.3.5 Not attempt to gain unauthorized access to any part of the Product or its systems.
7.4 You retain ownership of any content you submit or upload to the Product. By providing content, you grant us a worldwide, fully paid-up, royalty-free, non-exclusive, sub-licensable, and transferable license to use, reproduce, distribute, modify, adapt, publicly perform, and display such content for the purpose of providing our Services.
7.5 During the term of the active license granted under these Terms, the User is authorized to create derivative works from the Product. These derivative works may be developed, modified, or adapted to enhance or complement the original material, provided that they do not directly compete with or replicate the core functionalities or features of the Product. Upon termination of the license or cancellation of a User account, the User shall discontinue all use of the derivative works. City Falcon reserves the right to monitor, assess, and review any derivative works produced by the User to ensure compliance with these Terms and may take appropriate actions, including requesting modifications or the discontinuation of the use of derivative works that do not align with these Terms.
8. PROHIBITED USES
8.1 Prohibited Use
- Users shall not engage in any activity that may harm, exploit, or compromise the security, integrity, or availability of the Product or its associated systems. This includes but is not limited to hacking, phishing, introducing malware or viruses, or conducting any form of cyber-attack.
- Users shall not use the Product for any form of commercial solicitation without prior authorization.
- Users shall not scrape, crawl, or otherwise extract data from the Product for any purpose without explicit permission from City Falcon Limited.
- Users shall not resell, sublicense, or redistribute the Product or any of its content without prior written consent from City Falcon Limited.
8.2 Reporting Violations
- Users are encouraged to report any violations of this Usage Policy or suspected unauthorized activities related to the Product to City Falcon Limited promptly.
- City Falcon reserves the right to investigate and take appropriate action in response to reported violations, which may include suspending or terminating User accounts, as deemed necessary.
8.3 Consequences of Violation
- It is the responsibility of the User to ensure that their use of the Product complies with the terms and conditions specified in this Agreement. Violation of this Usage Policy may result in disciplinary actions, including but not limited to warning, account suspension, or termination, at the sole discretion of City Falcon.
- City Falcon may also report any violations to the relevant authorities and cooperate fully in any investigation or legal proceedings. City Falcon reserves the right to take appropriate legal action and seek remedies available under the law in the event of any Unauthorized Use of the Product, including but not limited to termination of access, seeking damages, or pursuing injunctive relief.
8.4 By using the Product, Users acknowledge their understanding and agreement with the provisions outlined in this Usage Policy and agree to comply with all applicable rules and guidelines.
9. LICENSE FEES AND PRICE CHANGES
9.1 The license fees for use of the Product shall be communicated to the User in a separate document, such as an invoice or pricing schedule. The specific details regarding the license fees, payment terms, and duration of the license will be clearly outlined in this document. By proceeding with the purchase of the license, the User acknowledges and agrees to the specified fees.
9.2 City Falcon reserves the right to change the fees at their sole discretion. This includes the right to modify, increase, or decrease the fees for the Product. Any changes to the license fees will be communicated to the User through appropriate means, such as email, notifications within the Product, or updates to the document containing the license fees.
9.3 Users understand and acknowledge that they are responsible for regularly reviewing the updated pricing information to stay informed about any changes in the license fees.
10. MINIMUM LICENSE PERIOD
10.1 The license for the Product has a minimum term as stated on the DCSC website (accessible at dcsc.ai), which means that upon purchase, Users are granted access to and use of the Product for the minimum period stated (the “Initial Term”). Upon the expiration of the Initial Term, the license shall renew automatically for successive periods of the same duration as the Initial Term (each a “Renewal Term”) until terminated in accordance with the terms set forth herein.
10.2 No Refunds or Cancellations. Due to the nature of the Product and the services it provides, there are no refunds or cancellations once the license is purchased and the data is accessed.
10.3 Exploring Available Information. Users are encouraged to explore the available information within these Terms and that may be available to the public on the DCSC website before committing to the license purchase. This allows Users to assess the suitability and relevance of the license and the Product to their specific needs and objectives.
10.4 Browsing Sector Information. Relevance weights are not available as part of the openly browseable sector hierarchy and data. Relevance weights are only available through the API and downloadable dataset and only with the proper license.
10.5 By purchasing the license for the Product, Users acknowledge and agree that there are no refunds for the license fee paid. The license fee is non-refundable, and any cancellation of the license before its expiration shall be without liability to City Falcon Limited. Users understand that the license grants access to and use of the Product for the duration of the license term. Once the license is purchased, Users are responsible for fulfilling the terms of the license and making use of the Product within the agreed-upon period. In the event that a User decides to cancel the license before its expiration, City Falcon Limited shall bear no liability or responsibility for any resulting loss, damages, or costs incurred by the User. The User agrees to release and hold City Falcon Limited harmless from any claims, demands, or liabilities arising out of or related to the cancellation of the license. Users are encouraged to carefully evaluate their needs and thoroughly explore the available sectors and features of the Product before committing to the license purchase. It is the responsibility of the User to assess the suitability of the Product for their specific requirements and to make an informed decision regarding the purchase of the license.
11. CANCELLATIONS AND TERMINATION
11.1 Cancellation by City Falcon Limited
City Falcon Limited reserves the right to cancel the User's license for the Product under certain circumstances, including but not limited to:
- Breach of Agreement: If the User violates any provisions of this Agreement or fails to comply with the terms and conditions set forth herein.
- Non-Payment: If the User fails to make the required payment for the license fee within the specified timeframe.
- Unauthorized Use: If City Falcon Limited determines that the User is engaged in unauthorized use of the Product, including but not limited to activities such as hacking, unauthorized access, redistribution, or misuse of the Product.
- If an improper license is purchased or if the license is not updated.
- If the licensee uses the data obtained from the Product to compete against DCSC.
- If the licensee fails to provide the stipulated credit byline, "Powered by DCSC.ai," or an alternative phrasing as approved by City Falcon.
Upon cancellation of the license by City Falcon Limited, the User's right to access and use the Product will be terminated. City Falcon Limited shall have no liability or obligation to provide any refund or compensation to the User for the cancellation, except as expressly stated in this Agreement.
In the event of license cancellation, the User shall cease all use of the Product and (where applicable), return or destroy any materials, data, or information related to the Product in their possession.
In case of account termination or suspension, Users may contact City Falcon via email at [email protected]. However, please note that there are no formal appeals process beyond this communication channel.
11.2 Cancellation by User
- Users may request the cancellation of their license for the Product by providing written notice to City Falcon Limited. The notice should include the User's account information and the reason for the cancellation request.
- City Falcon Limited will review the cancellation request and, at its sole discretion, determine whether to approve or deny the request. The User will be notified of the decision in a timely manner.
- Users understand and acknowledge that, due to the nature of the Product and the license term, there are no refunds for early cancellation of the license. The license fee paid is non-refundable.
- Upon the approval of a cancellation request, City Falcon Limited will terminate the User's access to the query-able API and the User may no longer use the Product. The User's account will be closed, and their license will no longer be valid.
- The User agrees to cease all use of the Product upon cancellation by the User and to return or destroy any materials, data, or information related to the Product in their possession, as requested by City Falcon.
- By canceling the license, the User releases City Falcon Limited from any liability or responsibility for any losses, damages, or costs incurred as a result of the cancellation, including but not limited to any impact on the Userr's business operations or financial circumstances.
12. USE OF THIRD PARTY PROCESSORS
12.1 City Falcon Limited utilizes Chargebee as the payment processor for handling transactions related to the Product. Chargebee is a trusted third-party payment gateway that facilitates secure and efficient payment processing. When Users make payments for the Product, their payment details, such as credit card information, are securely managed by Chargebee for processing.
12.2 All other account information, including personal and account details provided by Users during the registration or account creation process, is processed internally by City Falcon Limited. City Falcon Limited maintains strict confidentiality and data protection measures to safeguard the User's account information in accordance with applicable laws and regulations.
12.3 Chargebee serves as the primary payment processor. In some cases, particularly for large enterprises that require custom invoicing, City Falcon Limited may utilize Stripe as an alternative payment processing option. Stripe observes industry standard security and data protection practices.
13. OWNERSHIP OF INTELLECTUAL PROPERTY (IP)
13.1 City Falcon retains full ownership of all intellectual property rights associated with the Product, including but not limited to copyrights, trademarks, patents, and trade secrets. All content, materials, software, data, algorithms, designs, logos, and other intellectual property related to the Product are the exclusive property of City Falcon Limited.
13.2 Subject to the terms of these Terms and the acceptable usage policy, Users are hereby granted a limited, non-transferable, and non-exclusive license to access and use the Product strictly in accordance with these Terms. This license does not grant Users any ownership rights, title, or interest in the intellectual property of City Falcon or DCSC. Users shall not, under any circumstances, reproduce, modify, distribute, publish, transmit, sell, sublicense, or exploit any part of the intellectual property associated with the Product without the express written permission of City Falcon. City Falcon reserves all rights not expressly granted in this Agreement, and no implied licenses or rights are granted to Users by virtue of their access to or use of the Product. Users shall not attempt to reverse-engineer, decompile, or disassemble the Product or any of its components in an effort to gain access to or understand the underlying intellectual property.
13.3 Users may have the ability to provide feedback, suggestions, or other user-generated content related to the Product. By providing such user-generated content, Users grant City Falcon a worldwide, royalty-free, perpetual, irrevocable, and sublicensable right to use, reproduce, modify, adapt, publish, distribute, and display the user-generated content for any purpose related to the Product.
13.4 City Falcon respects the intellectual property rights of third parties and expects Users to do the same. Users shall not use the Product in any manner that infringes upon the intellectual property rights of others.
13.5 If Users believe that their intellectual property rights have been infringed by the Product or any user-generated content within the Product, they shall promptly notify City Falcon Limited and provide all necessary information to support their claim. City Falcon Limited will investigate reported intellectual property infringement and, if necessary, take appropriate actions, including removing infringing content or terminating User accounts.
13.6 The ownership rights of City Falcon, as outlined in this section, shall survive the termination or expiration of this Agreement and remain in effect.
14. THIRD-PARTY SERVICES
The Product may provide links or access to third-party websites or services for your convenience. City Falcon is not responsible for the content, privacy practices, or actions of these third parties. You acknowledge and agree that you access and use any third-party services at your own risk, and you should review the terms and policies of those third parties before engaging with their services.
15. LIMITATION OF LIABILITY
15.1 By using the Product and engaging in the Services provided, you acknowledge and agree that City Falcon and its officers, directors, employees, agents, and affiliates shall not be held liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with your use of the Product. This includes, but is not limited to, any damages resulting from errors, omissions, delays, or interruptions in the operation of the Product, or any loss or damage to data or equipment.
15.2 City Falcon shall not be responsible for any errors, inaccuracies, or omissions in the information provided on the Product. It is your responsibility to verify and validate the accuracy of the information before making any decisions or taking any actions based on such information.
15.3 City Falcon does not guarantee the availability, reliability, or uninterrupted access to the Product. You acknowledge that the Product may be subject to maintenance, upgrades, or other technical issues that may temporarily disrupt its accessibility.
15.4 In no event shall City Falcon’s total liability, whether in contract, tort (including negligence), or otherwise, exceed the License fees paid for use of the Product in the last 12 months preceding the event that gives rise to the claim.
16. INDEMNIFICATION
16.1 You agree to indemnify, defend, and hold harmless City Falcon and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of or in connection with:
16.1.1 Your use of the Product and services,
16.1.2 Any violation of these Terms and Conditions,
16.1.3 Any breach of your representations or warranties,
16.1.4 Any infringement of intellectual property rights or other rights of third parties,
16.1.5 Any unauthorized use or access to the Product,
16.1.6 Any actions or omissions by you that result in harm, damage, or injury to any third party,
16.1.2 Any violation of these Terms and Conditions,
16.1.3 Any breach of your representations or warranties,
16.1.4 Any infringement of intellectual property rights or other rights of third parties,
16.1.5 Any unauthorized use or access to the Product,
16.1.6 Any actions or omissions by you that result in harm, damage, or injury to any third party,
16.2 City Falcon reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such case, you agree to cooperate with City Falcon Limited in asserting any available defenses.
16.3 City Falcon will promptly notify you of any claim or action for which it seeks indemnification. You agree to promptly provide City Falcon Limited with all necessary information, assistance, and cooperation to defend such claims or actions.
17. DISPUTE RESOLUTION
17.1 In the event of any disputes or disagreements arising between City Falcon Limited and the User, the following dispute resolution process shall be followed:
17.1.1 Users are encouraged to first contact City Falcon’s customer support team to raise their concerns or disputes. City Falcon is committed to providing prompt and efficient assistance in addressing and resolving any issues that may arise. The customer support team will make reasonable efforts to investigate the matter and provide a satisfactory resolution within a reasonable timeframe.
17.1.2 If the dispute remains unresolved after engaging with customer support, both parties agree to participate in mediation in an attempt to reach a mutually agreeable resolution. The mediation process will be facilitated by a neutral and independent third party, chosen by mutual agreement or appointed by a recognized mediation organization. Both City Falcon and the User shall actively engage in the mediation process in good faith and with a willingness to find a fair and equitable solution. The costs associated with mediation, including the mediator's fees, shall be shared equally between both parties, unless otherwise agreed upon.
17.1.3 If mediation is unsuccessful in resolving the dispute, both parties agree to submit the matter to binding arbitration. The arbitration shall be conducted in accordance with the rules and procedures of the Arbitration Act 1996 (the “Rules”). The arbitration process shall be conducted by a single impartial arbitrator appointed in accordance with the Rules. The decision rendered by the arbitrator shall be final and binding on both City Falcon Limited and the User. Both parties agree to abide by the arbitration decision and waive any right to further litigation in relation to the dispute.
17.1.2 If the dispute remains unresolved after engaging with customer support, both parties agree to participate in mediation in an attempt to reach a mutually agreeable resolution. The mediation process will be facilitated by a neutral and independent third party, chosen by mutual agreement or appointed by a recognized mediation organization. Both City Falcon and the User shall actively engage in the mediation process in good faith and with a willingness to find a fair and equitable solution. The costs associated with mediation, including the mediator's fees, shall be shared equally between both parties, unless otherwise agreed upon.
17.1.3 If mediation is unsuccessful in resolving the dispute, both parties agree to submit the matter to binding arbitration. The arbitration shall be conducted in accordance with the rules and procedures of the Arbitration Act 1996 (the “Rules”). The arbitration process shall be conducted by a single impartial arbitrator appointed in accordance with the Rules. The decision rendered by the arbitrator shall be final and binding on both City Falcon Limited and the User. Both parties agree to abide by the arbitration decision and waive any right to further litigation in relation to the dispute.
17.2 Notwithstanding the above, either Party may seek injunctive relief or pursue legal action to protect their rights or interests related to intellectual property, confidentiality, or unauthorized use of the Product.
17.3 This dispute resolution process is intended to provide a fair and efficient mechanism for resolving disputes between City Falcon and its Users. By using the Product, you acknowledge and agree to engage in good faith efforts to resolve any disputes through the outlined process before pursuing other legal remedies.
18. NOTICES
